Annexure A — Most Important Terms and Conditions

  1. These terms and conditions, and consent thereon, are for the research services provided by the Research Analyst (RA), and the RA cannot execute or carry out any trade (purchase or sell transaction) on behalf of the client. Clients are advised not to permit the RA to execute any trade on their behalf.
  2. The fee charged by the RA to the client will be subject to the maximum amount prescribed by SEBI / Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for individual and HUF clients).
    • 2.1. The current fee limit is ₹1,51,000 per annum per family of client for all research services of the RA.
    • 2.2. The fee limit does not include statutory charges.
    • 2.3. The fee limits do not apply to a non-individual client or an accredited investor.
  3. The RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. In case of premature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for the unexpired period.
  4. Fees to the RA may be paid by the client through any of the specified modes such as cheque, online bank transfer or UPI. Cash payment is not allowed. Optionally, the client can make payments through the Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (the currently recognised RAASB).
  5. The RA is required to abide by the applicable regulations, circulars and directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavour to promptly inform the client of any conflict of interest that may affect the services being rendered.

  7. The RA cannot guarantee returns, profits, accuracy or risk-free investments from the use of the RA's research services. All opinions, projections and estimates of the RA are based on analysis of available data under certain assumptions as of the date of preparation or publication of the research report.
  8. Any investment made based on recommendations in research reports is subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on investments made based on the recommendations in the research report. Any reliance placed on a research report provided by the RA shall be as per the client's own judgement and assessment of the conclusions contained in it.
  9. The SEBI registration, enlistment with RAASB and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
  10. For any grievances:
    • Step 1: The client should first contact the RA using the details on this website, or on +91 62666 59514 · info@posaresearch.com.

  2. telephone recordings;
  3. email from a registered email id;
  4. a record of SMS messages;

Such records begin with the first interaction and continue until completion of the research services. Research analysts are required to maintain these records for five years; where a dispute is raised, records are maintained until resolution, or as further specified by SEBI.

Refund policyWhat is refundable, and what is not.

All sales are final, and we do not offer refunds for the paid period of services already availed by the client. Complaints or dissatisfaction regarding the quality of services during the paid period shall not entitle the client to any refund or compensation.

As per SEBI guidelines, if a client requests to cancel the subscription, a refund shall only be issued for the unused portion of the subscription period. The refund will be calculated on a pro-rata basis, deducting the charges for the services already availed, including applicable taxes and administrative fees.

Refunds will not be provided for the period of services already availed, irrespective of the client's satisfaction with the recommendations or the outcome of trades. Investments in securities markets are subject to market risks. Profits and losses incurred due to the use of our recommendations are solely the responsibility of the client.

By subscribing to our services and making payment, the client acknowledges that they have read, understood and agreed to the refund policy, as well as the disclaimer, disclosure and other terms mentioned on this website.

For any questions regarding the refund policy, contact info@posaresearch.com.

PMLA policyAnti-money-laundering obligations we work to.

The Prevention of Money Laundering Act, 2002 (PMLA) is an Indian law enacted to combat the offence of legalising income or profits from an illegal source. The Act enables government authorities to confiscate property or assets earned from illegal sources or through money laundering. The burden of proof lies with the accused, who must prove that the suspect property or assets have not been obtained through proceeds of crime. The PMLA provides for anti-money-laundering and anti-terrorist-financing measures to be taken in India.

POSA Research complies with the applicable PMLA obligations, including KYC verification, record-keeping and reporting of suspicious transactions where required.

Be aware of fraudsHow impersonation works, and how to check before you pay anyone.

It has come to our attention that fraudulent individuals sometimes misuse the SEBI registration numbers, Aadhaar, PAN and GST numbers of registered research analysts to defraud investors.

Such actions are not connected to POSA Research in any way, and Nishant Shukla does not authorise anyone to act on his behalf or to use his personal or professional details under any circumstances.

  4. Attach any supporting documents that could help SEBI investigate.

You can also contact SEBI's official helpline on 022 2644 9000, or by email at sebi@sebi.gov.in.

Investor charter & complaint dataThe SEBI charter, our disclosure, and the complaint position.

The Investor Charter for Research Analysts, issued by SEBI, sets out the rights and expectations of investors who avail themselves of the services of a registered research analyst. The current charter, the analyst's disclosure document and the investor complaint data are available on request from info@posaresearch.com, and are filed with the regulator as required.

Complaint data is updated as per SEBI's prescribed cycle. This page does not print figures it has not been given: the number of complaints received, resolved and pending for a period is published from the compliance record once that period is closed.

Annual audit reportsThe yearly audit under the RA Regulations.

Annual audit reports as required under the SEBI (Research Analysts) Regulations, 2014. The most recent report is available on request — please contact info@posaresearch.com.

Each report is added here as its cycle is published.

Broker & platform separationPOSA is not your broker, and never holds your money.

POSA Research is not the customer's broker or custodian. Broker credentials and consent are account-scoped. The server reads only the permissions the customer and the provider allow; the broker remains responsible for account statements, funds, fills, cancellations, corporate actions and contract notes.

Direct placement, where enabled for a supported provider, happens only after an explicit customer confirmation. A provider response without a broker order ID is never reported as successful. Partial basket results identify sent, failed, skipped and unconfirmed lines separately. Check the broker's order book before retrying.

Customer acknowledgementWhat you are confirming when you create an account.

Account creation and paid checkout require affirmative acknowledgement of the applicable terms, privacy information, risk of loss, separate broker charges, and the fact that a payment does not buy securities. Keep a copy of the version accepted and of the invoice or gateway receipt.

How POSA works

What POSA provides

  • Published research, market commentary, research calls, model portfolios and basket discovery for customer review.
  • An authenticated account workspace for research access, invoices, notifications and customer-controlled broker connections.
  • Optional routing or hand-off to a customer's own broker. A broker — not POSA — holds the trading account, money and contract notes.
  • Subscription access to the published service for the period shown at checkout. A subscription is not a security, deposit, wallet balance, promise of a return or instruction to buy a particular quantity.
Research is general research unless an executed agreement says otherwise. A customer decides whether an idea is suitable, verifies the facts, chooses quantities, confirms an order and bears the result.

Research-report and public-recommendation disclosures

Each recommendation or report identifies its publication date, analyst or research source, the recommendation or view, the time horizon, the relevant price, target or stop-loss methodology where used, material assumptions, risks and the basis of the analysis. Historical performance, back-tested figures and illustrations are not future returns.

  • Ratings and targets can change without notice. A target is not a guarantee and a stop-loss is not a guaranteed exit price.
  • Reports use information believed to be reliable, but POSA does not warrant completeness, accuracy or uninterrupted market data.
  • Corrections, revisions and material changes are identified clearly. Older research may no longer be valid.
  • Public-media recommendations carry the applicable registration, conflict, risk and compensation disclosure instead of being treated as casual tips.

Conflicts, holdings and compensation

POSA and its associated persons disclose material conflicts relevant to a research view, including ownership or financial interest in a covered security, a material relationship with an issuer, compensation, investment-banking or other business association, and personal trading restrictions where applicable.

Customer check: before acting, read the conflict and holding disclosure attached to the particular report. If a disclosure is missing or unclear, ask info@posaresearch.com and do not assume that absence means absence of a conflict.

Research fees are for research access or service delivery. They are not a commission for an executed securities order, and POSA does not accept undisclosed compensation for changing a view.

Market and product risk warning

Investing and trading involve risk of loss, including loss of principal. Equity, ETF, derivative, commodity and leveraged products can be volatile; liquidity can disappear; prices can gap; corporate events, taxes, charges, technology failures and counterparty or broker failures can affect outcomes.

  • No return, target, accuracy, fill, income or tax outcome is assured.
  • Past performance and model results do not predict future performance.
  • Do not invest borrowed money or money needed for essential expenses.
  • Derivative, intraday and leveraged transactions can lose more quickly than a cash equity investment and may require margin.
  • Use an authorised broker and read its risk disclosures, contract notes and exchange notices.

Risk labels and zodiac or thematic names are organisational descriptions, not a suitability assessment or a prediction.

Payments, taxes and charges

ChargeHow it is shown
POSA research subscriptionThe plan name, period and amount are read from the server configuration and shown before checkout.
GST or other taxesApplicable tax treatment, place of supply and invoice details depend on POSA's registration and the customer information on file. The invoice is the controlling document.
Payment gatewayCCAvenue handles card details. POSA does not see or store card numbers. Gateway policies or charges are presented by the gateway where applicable.
Broker, exchange and statutory chargesBrokerage, STT, GST, exchange, SEBI, stamp duty, DP and other transaction charges are separate from a POSA subscription and are set or collected by the broker or exchange.

POSA does not operate a customer wallet, accept money for securities, pool customer funds or treat broker cash as POSA revenue. A successful payment activates access only after gateway verification, and creates an account-scoped invoice. The maximum research fee that may be charged, and the modes by which it may be paid, are set out in the MITC fee clause.
